1. General

These Terms of Trade govern all transactions between the Customer and NEXURA FOODS INC, a trading division of Nexura Holdings Ltd. By placing an order, the Customer agrees to be bound by these terms.

2. Orders & Acceptance

• All orders are subject to availability and confirmation by NEXURA FOODS INC.

• Verbal or written acceptance of a quote constitutes a binding order.

• Nexura reserves the right to refuse or cancel orders at its discretion.

3. Pricing

• Prices quoted are exclusive of VAT unless otherwise stated.

• Prices are valid for the date of quotation only unless otherwise agreed in writing.

• Bulk discounts may apply depending on quantity and payment terms.

4. Payment Terms

• Cash upfront is required for all customers unless they hold an approved account with Nexura Holdings Ltd.

• Approved account holders will receive 30-day payment terms, unless otherwise specified in writing.

• Late payments on account terms may attract interest at 2% per month compounded.

• Nexura reserves the right to suspend supply or credit facilities in case of overdue accounts.

5. Delivery & Risk

• Delivery times are estimates and not guaranteed.

• Risk transfers to the customer upon delivery or collection, whichever occurs first.

• Nexura is not liable for delays caused by third parties, force majeure, or transport disruptions.

6. Ownership & Title

• All goods remain the property of Nexura Holdings Ltd until payment is received in full.

• Nexura reserves the right to reclaim goods in the event of non-payment.

7. Returns & Refunds

• No returns will be accepted without prior written approval.

• Approved returns must be made within 7 days of delivery and in original condition.

• Handling or restocking fees may apply at Nexura’s discretion.

8. Liability

• Nexura is not liable for any indirect, incidental, or consequential loss or damage.

• Maximum liability is limited to the replacement or refund of the goods supplied.

9. Brand & Entity Disclaimer

• NEXURA FOODS INC is a trading name of NEXURA HOLDINGS LTD.

• All invoices, payments, and legal agreements are processed through Nexura Holdings Ltd.

• The use of “Inc” is for branding purposes only and does not indicate a separate legal incorporation.

10. Governing Law

These Terms of Trade are governed by the laws of the Republic of South Africa.

Any disputes will be resolved in the relevant jurisdiction where Nexura Holdings Ltd is registered.
